The Pennsylvania Uniform Planned Community Act (68 Pa.C.S. Chapter 53), effective February 2, 1997, governs homeowner associations in planned communities created after that date. Condominium associations are governed separately by the PA Uniform Condominium Act (68 Pa.C.S. Chapter 32). Under UPCA, HOA boards must hold meetings with advance notice to members, typically at least 10 days for regular meetings. Annual meetings require written notice as specified in the governing documents. Meetings must generally be open to members except for executive sessions held to discuss specific matters (pending litigation, personnel, contracts under negotiation, or individual owner delinquencies). Boards must keep minutes of all meetings and make them available to owners. Board action outside a noticed meeting is permitted only by unanimous written consent unless the declaration or bylaws specify otherwise. Quorum requirements are set in the bylaws but cannot be lower than what UPCA allows. Board members owe fiduciary duties of care and loyalty. Penn Hills itself does not regulate HOA procedures; disputes are resolved through the association or in civil court.
