Texas Property Code Chapter 209 (TRPOPA) requires HOA boards to hold open meetings with advance notice to owners, conduct elections by secret ballot, and maintain detailed records available to members on request.
Under the Texas Residential Property Owners Protection Act (Property Code Ch. 209), HOA boards must provide at least 10 days written notice before board meetings and 10 to 60 days notice before annual meetings. Meetings must be open to all members except for executive sessions on litigation, personnel, or contract negotiations. Board elections must use secret ballots. Owners may request board meeting minutes and financial records, and the association must provide them within 10 business days. Proxy voting is allowed and must follow the procedures set out in the association's bylaws. A quorum is typically defined in the governing documents but Texas law provides default rules when bylaws are silent. Boards must adopt and publish an enforcement policy for fines, effective January 1, 2024.
Failure to provide records can result in a court order compelling production plus attorney fees. Owners can petition a Justice of the Peace under Property Code 209.00593 for access disputes. No direct fine from the state, but the board risks legal liability.
