Homeowner associations in San Bernardino County including master-planned communities in Chino Hills, Etiwanda, Rancho Cucamonga, and Fontana are governed by the California Davis-Stirling Common Interest Development Act, Civil Code sections 4000 through 6150. Boards must follow the Open Meeting Act (Civil Code 4900+) requiring four-day advance notice for regular meetings, two-day notice for executive sessions, and agenda posting. Members have the right to attend all meetings except executive session portions dealing with litigation, contracts, personnel, member discipline, or foreclosure. Executive sessions must be noted in subsequent meeting minutes. Board elections must follow Civil Code 5100 through 5145 including use of an independent inspector of elections, secret ballots, double-envelope procedures, and 30-day advance notice. Board members have fiduciary duties under Corporations Code 7231 including duties of care, loyalty, and good faith. Quorum requirements are set in governing documents but typically require majority of directors. Emergency meetings are permitted under Civil Code 4923 for immediate threats to property or safety. Members may record open meetings and inspect records under Civil Code 5200.
