Key board procedure requirements: (1) annual meeting of members with at least 10 but not more than 60 days written notice, (2) quorum set by declaration or bylaws (default 25% for planned communities), (3) board must hold meetings open to owners except for executive sessions on legal, personnel, or delinquency matters, (4) minutes of all open meetings must be kept and made available, (5) budgets must be adopted annually and distributed to owners, (6) owners have the right to inspect financial records, meeting minutes, and membership lists upon reasonable request under ORC 5312.06.
