NCGS 47F-3-108 requires HOA meetings open to members with reasonable notice. Executive sessions are allowed for legal, personnel, and contract matters but the board must reconvene in open session for any votes. Boards must maintain minutes, financial records, and governing documents available for member inspection under NCGS 47F-3-118. Annual meetings must be held to elect directors and present budgets. Quorum requirements are set by the community bylaws, commonly 20 to 25 percent of owners. Proxy voting is generally allowed. Board members owe fiduciary duties to the association and can be personally liable for self-dealing or gross negligence. Removal of directors typically requires a special meeting and majority vote of owners.
Owners may seek injunctive relief in Forsyth County Superior Court or file complaints with the NC Real Estate Commission against licensed managers.
