Keller HOAs must follow Texas Property Code Chapter 209 for board meetings, open records, and director elections. Members have a right to notice, attendance, and access to books and records.
Homeowner association boards in Keller operate under the Texas Residential Property Owners Protection Act (Texas Property Code Chapter 209) plus Chapter 22 of the Texas Business Organizations Code if the HOA is organized as a nonprofit corporation. Board meetings generally must be open to members, with exceptions for confidential topics like personnel, pending litigation, contract negotiations, and enforcement of violations against specific owners, which may be held in executive session. Notice of board meetings must be posted at least 72 hours in advance at a prominent place in the subdivision or by electronic means authorized in the CCRs or bylaws. Board members are elected as provided in the bylaws, and Texas Property Code 209.00593 requires that at least one director election each year be decided by secret ballot upon member request. Members may inspect HOA books and records after submitting a written request under Texas Property Code 209.005, with the HOA required to respond within 10 business days. Proxy voting rules are set in the bylaws. Keller HOAs range from very small neighborhood associations to large master-planned communities like the Ridge at Bear Creek.
HOAs that violate Chapter 209 may be sued by members for declaratory and injunctive relief plus attorney fees. The Texas Attorney General has limited oversight of HOA disputes.
