Texas Property Code Chapter 209 governs single-family residential HOAs in Converse and most of Texas. Section 209.0058 regulates board elections including eligibility, voting procedures, and use of absentee/electronic ballots. Directors owe fiduciary duties of care and loyalty to the association. Section 209.00592 prohibits HOAs from removing directors except through procedures in the bylaws or by a vote of the members. Proxy voting and cumulative voting are permitted if the governing documents allow.
Failing to hold open meetings or give proper notice can expose the board to member lawsuits seeking injunctive relief and attorney fees under Property Code 209.008. Breach of fiduciary duty by directors can lead to personal liability in extreme cases. Failure to file annual reports with the Texas Comptroller can result in forfeiture of corporate charter.
