Converse HOA Rules: Board Procedures Rules (2026)

Texas Property Code Chapter 209 governs single-family residential HOAs in Converse and most of Texas. Section 209.0051 requires that regular and special board meetings be open to all members of the association, with limited exceptions for executive sessions covering personnel matters, pending litigation, contract negotiations, enforcement actions, and privileged attorney communications. Notice of board meetings must be given to owners at least 72 hours in advance (or 144 hours for certain actions) and posted in a conspicuous location or emailed to those who have opted in. Board decisions must be memorialized in written minutes available to members. Texas Business Organizations Code Chapter 22 requires HOAs organized as Texas nonprofit corporations to maintain corporate records, file a Public Information Report or Franchise Tax Report annually, and hold an annual members meeting to elect directors. Section 209.0058 regulates board elections including eligibility, voting procedures, and use of absentee/electronic ballots. Directors owe fiduciary duties of care and loyalty to the association. Section 209.00592 prohibits HOAs from removing directors except through procedures in the bylaws or by a vote of the members. Proxy voting and cumulative voting are permitted if the governing documents allow.
