Summary

When an apartment building converts to condominiums in Santa Ana, the city withholds approval until the developer files a management plan whose draft CC&Rs spell out project governance: including the homeowners association board of directors' duties, powers, election process and replacement procedure.

An application for a conversion project shall be accompanied by a management plan which sets forth a comprehensive representation of the project governance process, including but not limited to the following components: (a)A maintenance plan which includes a long-term project maintenance schedule and operations standards. (b)Draft CC&R provisions setting forth the rules of project governance and management, including the establishment of a board of directors (duties, powers, election and replacement). (c)A statement governing the management of vacant and/or unsold units. (d)A current structural pest control inspection report issued by a licensed structural pest control operator, showing the subject premises to be free of evidence of termite, dry-rot, fungi and/or damage therefrom. Such a report shall be deemed current for a period of not more than ninety (90) days following the date of inspection.

Full Breakdown

Santa Ana's condo-conversion rules put HOA governance on the city's checklist, not just the developer's. ' That plan must include a long-term maintenance schedule and operations standards; draft CC&R provisions setting out the rules of project governance and management, expressly including establishment of a board of directors, its duties, powers, election and replacement; a statement on how vacant or unsold units will be managed; and a current structural pest control inspection report, valid no more than ninety days, showing the property free of termite, dry-rot, fungi and related damage.

This sits alongside Section 34-334's tenant assistance plan and Section 34-333's conversion plan, which the planning manager reviews before any tentative map for the conversion can be approved. The governance requirement means a Santa Ana HOA's founding board structure is not left to the CC&Rs alone to define after the fact, the city reviews the draft board-of-directors provisions as part of the conversion approval, before unit owners ever take title. Chapter 34's Article XII imposes a parallel but separate governing-document requirement on commercial and industrial common interest developments, so a residential apartment-to-condo conversion follows Section 34-335, not the commercial track.

Violations & Fines

Section 34-335 sets no standalone penalty; it operates as a filing prerequisite. Without a management plan containing the required CC&R governance provisions, including the board-of-directors structure, the planning manager cannot approve the tentative map, and without an approved tentative map the conversion project cannot proceed to a recorded final map or sale of individual units.

Frequently Asked Questions

Does Santa Ana require my condo HOA to have a board of directors?
For projects created by converting an existing apartment building, yes. Section 34-335 requires the conversion's management plan to include draft CC&R provisions establishing a board of directors, covering its duties, powers, election process and replacement, before the city will approve the tentative map.
What else has to be in a Santa Ana condo conversion's management plan besides HOA governance?
A long-term maintenance schedule and operations standards, a statement on managing vacant or unsold units, and a structural pest control inspection report no more than ninety days old showing the property free of termite, dry-rot or fungus damage, per Section 34-335.
Who reviews the HOA governance provisions before a Santa Ana conversion is approved?
The planning manager reviews the management plan, including the draft CC&R governance provisions, as part of the application for a conversion project's tentative map; the plan is required alongside the separate tenant assistance and conversion plans required under Sections 34-333 and 34-334 of the same article.
