ORC 5312.06 requires HOA boards to hold at least one annual meeting of owners with written notice delivered 10 to 50 days in advance. Board meetings must be open to owners except for executive sessions on legal, personnel, or delinquency matters. Owners have the right to inspect and copy HOA records including meeting minutes, financials, and governing documents under ORC 5312.06(B). Boards must consist of at least 3 members elected by owners. Parma municipal code does not add requirements beyond state law. Disputes over board procedure are handled in Cuyahoga County Common Pleas Court.
